Terms of service
The deal, in plain English
Draft — review by counsel
These terms apply to every client account. By using the service, or by signing in as a team member of a client, you agree to them. Last updated October 2026.
1. What the service does
When a lead submits one of your forms (or calls, texts, or emails a source you connect), the service places an automated assistant call that confirms their request, asks your qualifying questions, and books a meeting with your team when appropriate, and — once your texting registration is approved (section 4) — sends the lead a text. Your team is notified and can see every lead, transcript and recording in the dashboard. The assistant does not quote prices, negotiate, or make commitments on your behalf.
2. Fees
- Setup fee. A one-time fee, invoiced before go-live, covers building and testing your assistant, connecting your forms and numbers, and onboarding your team. It is non-refundable once your account is live (the first real lead has been handled).
- Monthly fee. A flat monthly charge that includes a pool of assistant minutes and text messages. Billed in advance each month by card.
- Overage. Use beyond the included pool is billed per minute and per text at the rates shown on your package page and in your dashboard. Fractions of a minute round up. Overage for a calendar month appears on the next invoice.
- Pool changes. After your first sixty days we may recommend a different pool size based on your actual usage. We never change what you are charged without telling you first.
- Non-payment. If a monthly charge fails and is not resolved within fourteen days we may pause the service. Paused leads are still recorded; they are not contacted.
3. Consent is your responsibility
The assistant only places automated calls to leads who agreed to be contacted that way. You are responsible for showing the consent disclosure on your forms and ads (we give you the text and the snippet), for the accuracy of any disclosure you configure, and for complying with the laws that apply to contacting people in your market, including the TCPA and state calling and recording laws. We give you the tools — calling hours, recording notices, STOP handling, consent capture — and we keep them on. We cannot verify what your form showed the lead; you attest to it.
4. Messaging and calling compliance
- You are the sender. Texts to your leads go out under your business name, on a texting registration in your name with the wireless carriers — your business is the brand of record, not us. Calls are placed on your behalf and say so. You give us accurate, current registration details (your legal name exactly as on your IRS letter, tax ID, address, website, and a privacy policy and terms that describe your texts, plus a contact person) and tell us promptly when anything changes. Until your registration is approved, leads get the call and an email, but no texts.
- You have the consent. You warrant that every person you send to the service has given you the consent the law requires before we contact them for you: prior express consent for calls and texts about their own request, and prior express written consent for automated or artificial-voice (AI) calls and for any marketing text. That consent names your business and was captured by you, on your form, ad or call. It was not bought, rented, shared, scraped or appended. No purchased or rented lists, ever.
- Your content and your lists are your responsibility. You are responsible for what your forms, ads and assistant instructions say, for the leads and sources you connect, for your consent records, and for honoring opt-outs you receive outside the service. You agree to indemnify and hold us harmless from claims, fines, penalties and costs (including reasonable attorney fees) that arise from your content, your lists, your consent records, or a consent failure on your side.
- We may pause it immediately. We may suspend texting, calling or both on your account at once, without prior notice, when a carrier, a phone or messaging provider, or a regulator notifies us of a problem, when opt-outs or complaints spike, or when we reasonably believe the traffic breaks these terms or the law. We tell you why and work with you to restore it.
- Carrier fees and fines pass through. The one-time and monthly carrier registration fees for your texting brand and campaign are billed to you at cost. Any carrier or provider fine or penalty caused by your traffic or content (for example a non-compliance fine for prohibited content) is passed through to you.
- No prohibited content. No texts or calls about sex, hate, alcohol, firearms or tobacco (the carriers' "SHAFT" categories) or cannabis, no high-risk financial or debt offers, gambling, sweepstakes, lead resale, phishing or misleading sender identity, and nothing else the carriers or the law prohibit. Your traffic stays about the quotes and orders your leads asked for.
- Opt-outs win. STOP (or any reasonable way of saying it) ends texts and calls to that person at once, across your account. You agree not to contact them again for the same purpose through other means unless they opt back in.
5. Acceptable use
- Use the service only for leads who asked to hear from your business. No purchased lists, no cold outreach, no leads submitted on someone else's site.
- Do not instruct the assistant to misrepresent what it is, to quote prices, to collect payment details, or to say anything unlawful or deceptive. The locked rules override any instruction you add.
- Do not attempt to access another client's data or to interfere with the service.
- We may suspend an account that breaks these rules, with notice where practical.
6. Your data and recordings
Your leads, transcripts and recordings belong to you. We process them only to provide the service, as described in our privacy page. Recordings and transcripts are kept ninety days by default, then cleared. You can delete any lead from the dashboard, ask us by email for an export of your data, and ask us to delete it all when you leave.
7. Availability and limits
We aim for the service to be available all the time and for every lead to be touched within a minute, and we show you the real numbers in your dashboard. We do not guarantee that any particular lead will be reached, qualified or booked, or that a third-party phone, text or calendar provider will never fail. If something on our side breaks, we fix it, tell you, and credit affected overage where it is fair to.
8. Cancelling
Cancel any time by email to support@minuteone.io or by replying to any invoice. Service continues to the end of the paid month; there is no refund of the current month and no refund of the setup fee once live. We will keep your data available for thirty days after cancellation and then delete it.
9. Liability
To the extent the law allows, our total liability for anything arising from the service is limited to the fees you paid us in the three months before the claim. We are not liable for lost profits, lost leads, or indirect damages. Nothing here limits liability that cannot be limited by law.
10. Changes
If we change these terms in a way that affects you, we will email the account owner at least fourteen days before the change takes effect.
